IBB Solicitors Advises the Celli Group on the Acquisition of Angram Limited
West London’s leading law firm IBB Solicitors (IBB) has advised The Celli Group, the Italian based leader in beverage dispensing systems and accessories, on its acquisition of the entire issued share capital of Angram Limited, a UK based specialist in the manufacturing of traditional draught ‘cask’ beer pump systems as well as generic and bespoke fonts. The transaction was executed through ADS2 Holdings Limited, Celli’s UK subsidiary.
This acquisition, besides developing strong industrial and commercial synergies between Celli’s two UK subsidiaries, will also accelerate the commercial development of Angram’s products through Celli’s sales network internationally.
Angram Ltd, founded in 1974 and owned by the Farrar family, employs about 40 staff at its facility in Thirsk (North Yorkshire), had a turnover of £7.2 million in 2016, and has a substantial share of the UK beer pump dispensing market.
The IBB Team advising the Celli Group was led by Adam Dowdney, Partner in the Corporate and Commercial Department and included Harriet Jones, Corporate and Commercial Partner, Richard Devall, Employment Partner and Jeff Elphee, Real Estate Partner.
Angram Limited were advised by Raworths LLP.
Commenting on the deal, Adam Dowdney, said:
“We were delighted to act for the Celli Group on their second UK acquisition which allows them to further develop their manufacturing capabilities and improve their sales offering and product range. This was a great example of our team’s ability to work on complex, cross-border transactions requiring a full-service offering and we wish everyone at Celli all success in the future.”
Derek Evans, Managing Director of ADS2 commented:
“The acquisition of Angram helps to expand the UK arm of the Celli business, which has exciting opportunities for all of us. We are very pleased to have worked with Adam, Harriet and the rest of the team on this transaction – their sensible approach and clear advice at every stage ensured that the transaction proceeded smoothly. The IBB team developed innovative solutions when we needed them, made themselves available for calls and meetings on short notice and provided us with a superb level of support and guidance to complete the acquisition.”
Mauro Gallavoti, CEO of the Celli Group commented:
“We could not have completed this acquisition without IBB’s pragmatic and helpful advice. Whilst this is not our first UK acquisition, it is still quite different from the way we do things in Italy, but Adam and Harriet’s wealth of experience and guidance made the process straight forward and simple to understand. We look forward to the opportunities that are ahead with Angram as part of the Celli Group.”
